Venture Law: Forming, Financing and Selling a Startup | 47xx
This course introduces students to advising entrepreneurs, and will explore legal issues associated with forming, funding, operating, and selling a business. We will use a case study over the course of the semester which tracks the development of a new business and examines key areas of corporate law with which a transactional attorney should be knowledgeable. A significant portion of the class will focus on financing transactions with third party investors, with attention to issues of both economics and control. This course will be taught in context and is designed to be highly practical using state of the art readings and the transaction documents currently used by leading law firms in the field.
