Agency, Partnership & the LLC | L4048

This course investigates the structure and implications of various unincorporated business entities within three main categories: agency relationships, partnerships, and limited liability companies. Through the readings and various practice-oriented exercises, students will learn to understand and apply the rules, statutes, and doctrines that establish the governing framework for those entities, which range from some of the most basic to some of the most sophisticated forms of doing business. In addition to enhancing their ability to think critically and strategically about a variety of unincorporated business organization structures, students will develop practical skills that will improve their readiness upon graduation for the practice of law in various business contexts. Credits 4
