Anatomy of a Transaction | L47xx

In October 2016, Denver-based Molson Coors Brewing Company (NYSE: TAP) doubled its size by acquiring America’s second-largest beer business, as well as Miller beer brands worldwide. This acquisition, enshrined by a federal court order, was the centerpiece of one of the largest corporate deals in history: the $105 billion purchase by Anheuser Busch InBev (ABI) of SABMiller plc. This seminar will provide a front-row seat to the legal, regulatory, and practical challenges posed by the acquisition. Topics will include: (1) negotiating joint venture and operating agreements; (2) navigating uncertainty and opacity in share purchase and transition services agreements, and in antitrust consent decrees; (3) raising capital in the U.S. debt and equity markets; and (4) devising strategy and tactics to resolve commercial disputes in the midst of negotiations.
