Advanced Corporate Law | L47xx

This seminar in advanced corporate law will explore pressing issues involving corporate governance, acquisition transactions, corporate personhood, securities regulation, crisis management, shareholder activism, insider trading, and corporate social responsibility, among other topics. Through the readings and discussions, students will explore tensions and trends in evolving corporate law jurisprudence and business practices. Moreover, students will encounter some sophisticated examples of corporate strategy, planning, litigation and deal making. By contrasting recent corporate scandals with models of corporate success, students will gain a fuller understanding of the essential role that lawyers play in the corporate world.
